Please read these Terms of Service ("Terms") carefully before using www.cincymed.com (the "Site") or placing any order with CincyMed ("CincyMed," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using the Site, registering for an account, submitting a quote request, or placing an order, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not use the Site.
If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.
2. B2B Nature of the Site — Eligibility
The Site is intended exclusively for business-to-business (B2B) transactions. Products available on the Site are intended for purchase and use by:
- Licensed hospitals and health systems
- Ambulatory surgery centers (ASCs)
- Clinics and medical practices
- Licensed healthcare professionals (physicians, surgeons, nurses, and other clinicians)
- Authorized medical device purchasing agents and procurement departments
- Other qualified healthcare institutions and organizations
By using the Site, you represent and warrant that you are a qualified healthcare professional or authorized representative of a licensed healthcare institution, and that you are purchasing products for professional or institutional use — not for personal, household, or consumer purposes.
CincyMed reserves the right to refuse, cancel, or reverse any order if we determine, in our sole discretion, that the purchaser does not meet these eligibility requirements or that the purchase violates applicable law or regulation.
3. Account Registration
Some features of the Site, including viewing pricing, submitting quote requests, and placing orders, may require you to register for an account. When registering, you agree to:
- Provide accurate, complete, and current information about yourself and your organization.
- Maintain the security and confidentiality of your account credentials.
- Notify us immediately at sales@cincymed.com if you suspect any unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that are found to contain inaccurate information, are used in violation of these Terms, or are otherwise inactive for an extended period.
4. Products and Ordering
4.1 Product Descriptions
We strive to ensure that product descriptions, images, and specifications on the Site are accurate and up to date. However, we do not warrant that all product information is complete, current, or error-free. Product availability is subject to change without notice.
4.2 Standard Orders
For products listed with a price and an "Add to Cart" or "Buy Now" option, you may place an order directly through the Site. By submitting an order, you are making an offer to purchase. Your order is not confirmed until you receive a written order confirmation from CincyMed. We reserve the right to decline or cancel any order for any reason, including but not limited to product unavailability, pricing errors, or inability to verify your eligibility.
4.3 Quote-Only Products
Certain products — including specialty instruments, custom configurations, and high-value capital equipment — are available on a quote-only basis and do not have a listed purchase price. To obtain pricing for these products, you must submit a quote request through the Site's quote request form or by contacting us directly at sales@cincymed.com. Quote-only products cannot be purchased directly through the Site's checkout process. All quotes are subject to acceptance and are valid for the period specified in the quote.
4.4 Order Cancellations
Orders may be cancelled before shipment by contacting us at sales@cincymed.com. Once an order has shipped, our Returns and Exchanges Policy (Section 8) applies. Special-order and custom products may not be cancellable after the order is placed.
5. Pricing and Payment
5.1 Pricing
All prices listed on the Site are in U.S. dollars and are for business customers only. Prices are subject to change without prior notice. In the event of a pricing error on the Site, we reserve the right to cancel any affected orders and notify you promptly. We are not obligated to honor incorrectly listed prices.
5.2 Taxes
Applicable sales tax will be calculated and added to your order at checkout based on your shipping address and applicable state and local tax regulations. If your organization qualifies for tax-exempt status, you must provide a valid tax exemption certificate prior to placing your order. Contact us at sales@cincymed.com to submit exemption documentation.
5.3 Payment Terms
Payment is due at the time of order unless a credit account or alternative payment terms have been separately established in writing with CincyMed. Accepted payment methods are displayed at checkout. For credit account customers, invoices are due in accordance with the payment terms stated on the invoice. Late payments may be subject to interest charges and suspension of account privileges.
6. Shipping and Delivery
We ship orders within the United States, including non-contiguous states (Alaska and Hawaii) and U.S. territories. Shipping timelines are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our control.
- Shipping costs will be calculated and displayed at checkout or provided in your quote, as applicable.
- Risk of loss and title for products pass to you upon delivery to the carrier.
- If a shipment arrives visibly damaged, please refuse the delivery or note the damage with the carrier at the time of delivery, and contact us within 48 hours at sales@cincymed.com.
- For shipments requiring special handling (e.g., temperature-controlled devices), applicable handling terms will be stated in your order confirmation or quote.

7. Regulatory Compliance
Medical devices sold through the Site are regulated products. By purchasing, you acknowledge that:
- It is your responsibility to ensure that any products purchased comply with all applicable federal, state, and local laws and regulations governing their purchase, possession, use, and disposal, including applicable FDA regulations.
- Products may only be used by or under the supervision of qualified, licensed healthcare professionals in accordance with the product's approved indications and labeling.
- Certain devices may require proof of facility accreditation or professional licensure prior to purchase. CincyMed reserves the right to request such documentation.
- You are responsible for obtaining any permits, licenses, or registrations required in your jurisdiction.
8. Returns and Exchanges
Due to the regulated nature of medical devices and surgical instruments, our return policy is as follows:
- Return window: Requests to return eligible products must be initiated within 30 days of the delivery date by contacting sales@cincymed.com.
- Condition: Products must be returned in their original, unopened, undamaged packaging and in resalable condition. Products that have been opened, used, or otherwise compromised cannot be returned for health and safety reasons.
- Non-returnable items: The following are not eligible for return: special-order or custom products, products with broken seals or opened packaging, sterile products that have been opened, and any product for which return is prohibited by applicable law or manufacturer policy.
- Return authorization: All returns require a Return Merchandise Authorization (RMA) number issued by CincyMed. Do not return products without an RMA. Unauthorized returns may be refused.
- Restocking fee: A restocking fee of up to 20% of the purchase price may apply to returned items at CincyMed's discretion.
- Defective or incorrect products: If you receive a defective or incorrectly shipped product, please contact us within 5 business days of receipt. We will arrange a replacement or credit at no additional cost.

9. Intellectual Property
All content on the Site — including but not limited to text, product descriptions, images, logos, graphics, and the overall look and feel of the Site — is the property of CincyMed or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content on the Site without our prior written permission, except as expressly permitted for your internal business purposes in connection with evaluating or purchasing our products.
CincyMed is a trademark of CincyMed. All other product names, trademarks, and brand names referenced on the Site are the property of their respective owners.
10. Prohibited Uses
You agree not to use the Site to:
- Purchase products for resale to consumers or for non-professional, personal use, without CincyMed's written consent.
- Provide false or misleading information about yourself or your organization during account registration, ordering, or quote requests.
- Engage in any activity that is unlawful, harmful, fraudulent, deceptive, or that violates any applicable regulation, including FDA regulations governing medical devices.
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or related systems.
- Use automated tools (bots, scrapers, crawlers, etc.) to access, collect, or index information from the Site without our prior written consent.
- Transmit viruses, malware, or other harmful code.
- Interfere with or disrupt the operation of the Site or its underlying infrastructure.
- Violate any applicable local, state, national, or international law or regulation.
11. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS AND SERVICES OFFERED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CINCYMED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Site will be uninterrupted, error-free, or free of viruses or other harmful components; (b) the information on the Site is accurate, complete, or current; or (c) any products will meet your specific requirements.
Product manufacturers' warranties, if any, are passed through to you as received. CincyMed makes no independent warranty with respect to any manufacturer's product.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CINCYMED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CINCYMED'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CINCYMED IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless CincyMed and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your use of any products purchased through the Site in a manner inconsistent with applicable labeling, law, or regulation.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-laws principles.
Informal Resolution. Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute informally by contacting CincyMed at sales@cincymed.com and allowing 30 days for good-faith resolution.
Binding Arbitration. If a dispute cannot be resolved informally, it shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, in English, and seated in Hamilton County, Ohio. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a claim was frivolous or brought in bad faith.
Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section limits CincyMed's right to seek collection of amounts owed through appropriate legal channels.
Class Action Waiver. All disputes must be brought in the parties' individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party's claims.
15. Severability and Waiver
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and CincyMed with respect to the Site and your use thereof, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
